ASHI JewelSocial™ E-Blast – Terms of Use

Program Overview

JewelSocial™ E-Blast is a fully managed email marketing service designed exclusively for jewelry retailers.

Through this done-for-you service, ASHI designs, develops, schedules, and sends customized email marketing campaigns on behalf of participating retailers. Each campaign may feature trending jewelry, seasonal promotions, educational blogs, product highlights, and other marketing content personalized with the retailer’s store logo, contact information, and social media links.

ASHI manages the campaign process from design to delivery, allowing participating retailers to stay connected with their customers while focusing on serving customers and selling jewelry.

Scope of Services

By enrolling in JewelSocial™ E-Blast, you authorize ASHI and the JewelSocial™ team to provide the following services on your behalf:

  1. Design and create customized marketing email campaigns
  2. Develop campaign content, graphics and layouts
  3. Personalize campaigns with your store logo, contact information, and social media accounts
  4. Manage and upload retailer-provided contact lists for campaign sending
  5. Schedule and send campaigns on behalf of participating retailers
  6. Provide a pre-made campaign calendar in advance outlining upcoming campaigns

Participating retailers may receive one customized email campaign per week, featuring jewelry marketing content and educational blog content curated by ASHI.

Content Review & Campaign Calendar Preview

Retailers will receive a monthly campaign calendar prior to sending. This calendar is provided for visibility and planning purposes and reflects the scheduled campaigns for the upcoming period.

Retailer Responsibilities

By participating in JewelSocial™ E-Blast, retailers agree to:

  1. Provide accurate store logo, contact information, business details, and approved branding assets
  2. Provide accurate and compliant customer contact lists
  3. Maintain ownership and responsibility for the quality and legality of their email list
  4. Ensure that all customer data provided to ASHI has been collected legally and with appropriate consent
  5. Respond directly to customer replies, inquiries, and requests generated from email campaigns
  6. Notify ASHI of any domain, email, DNS, contact list, or business information changes that may affect campaign sending

ASHI is responsible for designing, developing, scheduling, and sending campaigns as part of the service. Retailers remain responsible for their customer relationships, customer communications, list quality, and legal compliance related to their subscriber data.

Contact List Quality and Consent

Retailer represents and warrants that every email address provided to ASHI for use in JewelSocial™ E-Blast campaigns:

  1. Was obtained through legitimate and voluntary opt-in by the recipient
  2. Has provided consent to receive marketing emails from the retailer
  3. Was not purchased, scraped, rented, harvested, or otherwise acquired from third parties without consent
  4. Was not obtained through automated harvesting tools, non-consensual data sources, or unauthorized collection methods
  5. Is accurate, current, and appropriate for marketing communication from the retailer

Retailer understands that list quality directly impacts campaign performance, email deliverability, sender reputation, and overall program success.

CAN-SPAM and Privacy Law Compliance

Retailer represents and warrants that its email collection practices comply with the CAN-SPAM Act of 2003 and all other applicable email marketing, data privacy, and consumer protection laws.

If Retailer collects email addresses from individuals located in jurisdictions with additional privacy requirements, including but not limited to the European Union, United Kingdom, California, or other applicable regions, Retailer warrants that it has obtained all required consent and complies with applicable privacy laws, including GDPR, CCPA, and any other relevant regulations.

Retailer is solely responsible for ensuring that the contact list provided to ASHI is legally obtained, properly permissioned, and compliant for marketing use.

Indemnification for List Quality Issues

Retailer agrees to indemnify, defend, and hold harmless ASHI, its affiliates, officers, directors, employees, agents, licensors, representatives, and third-party service providers from and against any claims, damages, fines, penalties, losses, costs, expenses, or liabilities, including reasonable attorneys’ fees, arising from or relating to:

  1. Spam complaints caused by Retailer’s contact list
  2. High bounce rates or invalid email addresses
  3. Blacklist listings or sender reputation damage caused by Retailer’s list quality
  4. Violations of CAN-SPAM, GDPR, CCPA, or other applicable laws related to Retailer’s contact list
  5. Any legal action by recipients who did not consent to receive marketing emails
  6. Reputation damage to ASHI, JewelSocial™ E-Blast, or sending infrastructure caused by Retailer’s contact list or subscriber data

Pause, Suspension, and Termination Rights

ASHI reserves the right to immediately pause or suspend campaign sending for any retailer if any of the following occur:

  1. Excessive bounce rates on any campaign
  2. Excessive spam complaint rates on any campaign
  3. Retailer’s domain appears on a major email blacklist
  4. The email service provider notifies ASHI of a policy violation
  5. ASHI determines that the contact list may be non-compliant, outdated, purchased, scraped, or otherwise problematic

Campaign sending may resume once the underlying issue has been resolved. This may require the retailer to:

  1. Clean the contact list by removing invalid, inactive, or unengaged email addresses
  2. Provide additional documentation of opt-in consent
  3. Update DNS or domain settings
  4. Remove problematic subscriber segments
  5. Take other reasonable corrective steps requested by ASHI

Repeated violations, unresolved compliance concerns, or continued list quality issues may result in termination of the service at ASHI’s sole discretion, without refund of fees already paid.

Sending Domain and DNS Records

JewelSocial™ E-Blast campaigns may be sent using the retailer’s own sending domain or approved sending identity, such as info@[retailer-domain].com.

Retailer may be required to add and maintain DNS records provided by ASHI or ASHI’s email service provider. These records may include, but are not limited to, authentication records required for secure and compliant email sending.

Retailer is responsible for:

  1. Adding DNS records accurately and in a timely manner
  2. Maintaining DNS records after setup
  3. Notifying ASHI of any domain, hosting, DNS, or email provider changes that may affect campaign sending
  4. Resolving any sending disruption caused by DNS misconfiguration or domain changes on the retailer’s side

ASHI is not responsible for delays, failed authentication, deliverability issues, or campaign disruptions resulting from incorrect, incomplete, removed, or changed DNS records controlled by the retailer or retailer’s domain provider.

Reply Handling

By default, replies to marketing emails will be directed to the retailer’s designated email address, such as:

Reply-To: email@[retailer-domain].com

Retailer is responsible for monitoring and responding to all customer replies, inquiries, unsubscribe questions, sales opportunities, and other customer communications generated from JewelSocial™ E-Blast campaigns.

ASHI does not respond to customer inquiries on behalf of the retailer.

Data Ownership and Use

Retailer retains full ownership of:

  1. Retailer’s contact list, including email addresses and subscriber data
  2. Retailer’s logo and approved brand assets
  3. Retailer’s store information and contact details
  4. Retailer’s campaign performance data and analytics history

ASHI will use the retailer’s contact list and brand assets solely for the purpose of providing the JewelSocial™ E-Blast service and sending campaigns on the retailer’s behalf.

Retailer grants ASHI a limited license to use retailer-provided contact lists, logos, brand assets and business information, only as necessary to design, develop, schedule, and send campaigns under this program.

ASHI Intellectual Property

ASHI retains ownership of:

  1. Email templates and layouts created by ASHI
  2. Campaign design assets created by ASHI
  3. Creative concepts, content structures, and marketing formats
  4. ASHI processes, methodologies, systems, and proprietary technology
  5. JewelSocial™ E-Blast program materials and service framework

Participation in JewelSocial™ E-Blast does not transfer ownership of ASHI-created templates, designs, processes, or proprietary assets to the retailer.

Confidentiality and Data Security

ASHI will take reasonable measures to protect retailer-provided subscriber data and confidential business information.

ASHI will implement reasonable technical and organizational safeguards, which may include encrypted connections, secure systems, controlled access, and other appropriate data protection practices.

No Guarantee of Deliverability or Results

ASHI JewelSocial™ E-Blast does not guarantee inbox placement, open rates, click-through rates, sales conversions, customer responses, or revenue results.

Email deliverability and campaign performance depend on many factors, including but not limited to:

  1. Contact list quality
  2. Subscriber engagement
  3. Sender reputation
  4. Email service provider policies
  5. Internet service provider filtering
  6. Domain authentication
  7. Recipient behavior
  8. Campaign timing and content relevance

Many of these factors are outside ASHI’s control.

Platform Availability, Outages, and Changes

Temporary service interruptions, delays, failed sends, reporting delays, or campaign issues may occur due to email platform outages, third-party service interruptions, system maintenance, DNS issues, provider limitations, or other circumstances beyond ASHI’s control.

JewelSocial™ E-Blast is not responsible for disruptions, delays, or sending issues caused by third-party platforms, email service providers, hosting providers, domain providers, or system maintenance outside ASHI’s control.

Campaign frequency, supported platforms, sending features, and service capabilities may evolve over time to align with platform policies, performance insights, compliance requirements, and program enhancements. Any material changes will be communicated in advance.

Use of Artificial Intelligence

ASHI may use Artificial Intelligence technologies to create, enhance, or support campaign content as part of JewelSocial™ E-Blast. This may include, but is not limited to:

  1. Generation or enhancement of jewelry images
  2. Creation or enhancement of lifestyle/model images
  3. Enhancement of product visuals
  4. Generation of text, subject lines and headlines
  5. Support for campaign design, layout, and content development

Billing, Cancellation, and Renewal

  1. JewelSocial™ E-Blast is billed annually unless otherwise stated in writing.
  2. Service cancellation requires a minimum of 30 days’ advance written notice prior to the next billing cycle.
  3. Fees already billed or paid are non-refundable once the billing cycle has begun.

Upon termination or cancellation:

  1. ASHI will cease sending email campaigns on the retailer’s behalf
  2. Retailer remains responsible for any fees accrued prior to termination
  3. ASHI may discontinue access to program services, campaign scheduling, and related support

Limitation of Liability

To the fullest extent permitted by law, neither party shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or reputational harm, even if advised of the possibility of such damages.

ASHI shall not be liable for campaign performance issues, deliverability limitations, customer non-response, reduced engagement, platform outages, third-party service limitations, DNS issues, or results affected by retailer-provided contact list quality.

Acceptance of Terms

Participation in the JewelSocial™ E-Blast program constitutes acceptance of these Terms of Use. Continued use of the service indicates ongoing agreement with any updates or revisions.

Other Terms

If any of these Terms of Use is deemed unlawful, void, or for any reason unenforceable, then that term shall not affect the validity and enforceability of any remaining terms. These Terms of Use constitute the entire agreement between ASHI and you regarding the subject matter herein. ASHI reserves the right to change or modify these terms of use at any time.

Indemnification

You agree to indemnify, defend, and hold harmless ASHI, its affiliates, parents, and their respective officers, directors, employees, agents, licensors, representatives, and third-party providers to the website from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this agreement by you. ASHI reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with ASHI in asserting any available defenses.

Jurisdiction and Governing Law

The JewelSocial™ E-Blast Program is controlled and operated by ASHI from its office in New York, the United States of America, in conjunction with our Website Licensors and third-party service providers. While the JewelSocial™ E-Blast may be accessed from other locations, by accessing it, you agree that these Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its conflicts of law principles. You also consent to personal jurisdiction in New York City and the State of New York for any dispute arising hereunder. Please note that the JewelSocial™ E-Blast Program is intended for residents of the United States only. No software from this Program may be downloaded, exported, or re-exported in violation of any law, including, without limitation, to countries that are subject to U.S. export restrictions.
