Use of ASHI Content:

The use of ASHI Content, which includes product data, images, videos, and other marketing materials, is strictly limited to brick-and-mortar retail jewelry establishments based in the United States and listed with the Jewelers Board of Trade (JBT). This content is authorized solely for use on your company's website (restricted to one domain name or URL) and your company's social media accounts, such as Facebook, Instagram, Pinterest, Twitter, and similar platforms.

Content Usage Restrictions:

• No Third-Party Transfer: ASHI Content may not be transferred, shared, uploaded, or electronically transmitted to any third party or website, especially those engaged in closeouts, overstock, or auction sales.
• Authorized Platforms Only: Content is exclusively for use on your company’s website and social media accounts; it may not be used for any other purpose.
• Proprietary Ownership: All content remains the sole property of ASHI. Providing access does not transfer any legal rights.
• No Product Data Sharing: Transmission or transfer of any ASHI product information to a third party is prohibited.
• Pricing Restrictions: You are not permitted to display ASHI Style Numbers/IDs or advertise or sell ASHI styles at a markup of less than 2.0 times your cost price on your website or social media accounts.
• Lawful Use Only: Content may not be used in any illegal, defamatory, or rights-infringing manner.
• No Third-Party Hosting: Hosting, displaying, or embedding ASHI Content via third-party CDNs, hosting services, or image-sharing platforms not controlled by your company is prohibited.
• No Unauthorized Image Alteration: Images and videos may not be modified, cropped, distorted, have branding removed, or otherwise altered—except for proportional resizing for display.
• No AI or Machine Learning Use: ASHI Content may not be used for machine learning, AI training, generative purposes, or AI-based manipulations without prior written permission.
• Paid Advertising Approval: Use of ASHI Content in paid advertising (e.g., Google Ads, Meta Ads) requires prior written approval and must link exclusively to your approved domain.

Watermark & Tracking:

ASHI reserves the right to embed visible or invisible digital watermarks or tracking data within its images and content to monitor and prevent unauthorized use or redistribution.

Product Content Disclaimer:

• Jewelry images may appear larger or smaller than their actual size, and color variations are possible due to photography, lighting, and display settings.
• ASHI may also use AI-generated models and background images in certain product visuals and videos.
• ASHI makes every effort to provide the most up-to-date Product Data, including Product Details, Prices, and Images. However, this product data may not always reflect current prices due to fluctuations in Gold, Diamonds, Gemstones, Foreign Exchange Rates, applicable Government Duties, International Customs, Tariffs, Taxes, Import Charges, as well as any changes and improvements made to the products.
• Prices may not include discounts or additional charges for Special Orders, Metal Color, or Sizes. In some instances, Product Data, including prices, may be inaccurate due to system or typographical errors. While we strive to avoid these errors, they may occur. ASHI reserves the right to correct any and all errors when identified and will not honor inaccurate or erroneous prices or information.

Access to ASHI Products:

ASHI is under no obligation to ship or sell products to any specific retailer. Sales are restricted to approved retailers who accept the ASHI Terms of Sale and Payment Agreement. If you are not an approved retailer, you are prohibited from downloading ASHI’s content.

Acceptance of ASHI Terms of Use:

By downloading and using ASHI’s content, you unconditionally agree to and accept the ASHI Images & Content Terms of Use.

Legal Clauses:

• Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.
• Limitation of Liability: In no event shall ASHI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising out of or in connection with the use or inability to use the content, even if ASHI has been advised of the possibility of such damages.
• Termination: ASHI reserves the right to terminate access to its content at any time and for any reason, including for a breach of these Terms of Use. Upon termination, you must immediately cease all use of ASHI Content and delete all copies from your systems, websites, and social media accounts.
• Disclaimer of Warranty: ASHI Content is provided 'as is' without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ASHI does not warrant that the content will be error-free or that access to it will be uninterrupted.
